1 Introduction and Acceptance
Welcome to Swizosoft (OPC) Private Limited. These Terms and Conditions ("Terms") govern your enrollment in our skill development programs, use of our software development services, access to our website, and use of our services. By applying to our programs, engaging us for software development, accessing our website, or using our services, you agree to be bound by these Terms.
Please read these Terms carefully before proceeding. If you do not agree with any part of these Terms, you must not use our services or apply for our programs.
2 Definitions
- "Company" or "We" or "Us" refers to Swizosoft (OPC) Private Limited
- "Student" or "You" refers to the person enrolling in our programs
- "Client" refers to individuals or businesses engaging us for software development services
- "Programs" refers to skill development courses offered by Swizosoft
- "Software Services" includes web development, mobile app development, custom software solutions, and related services
- "Website" refers to swizosoft.com and related domains
- "Content" includes course materials, videos, documents, and resources
- "Services" includes training, mentorship, placement assistance, software development, and support
3 Eligibility
To enroll in our programs or engage our services, you must:
- Be at least 13 years of age (or have parental/guardian consent)
- Have completed SSLC/PUC or equivalent (for educational programs)
- Provide accurate and complete information during enrollment or project onboarding
- Have valid email address and mobile number for communication
- Not have been previously suspended or removed from our services
- For software development clients, be authorized to enter into agreements on behalf of your organization
4 Enrollment and Project Onboarding
4.1. For skill development programs, enrollment is confirmed only after successful payment (full or first installment) and receipt of confirmation email.
4.2. For software development services, project commencement begins after signing of project agreement and receipt of advance payment (typically 50%).
4.3. We reserve the right to accept or reject any application or project without assigning any reason.
4.4. The information provided during enrollment or project onboarding must be accurate and truthful. Any false information may result in termination without refund.
4.5. Multiple applications from the same individual will not be accepted for programs.
4.6. Enrollment is non-transferable to another person.
5 Fees and Payment Terms
5.1. Program fees are as mentioned on the website at the time of enrollment. Software development project costs are as quoted in the project agreement.
5.2. Payment Modes Accepted:
We do not accept payments through any other modes.
5.3. All payments are to be made through the provided payment gateway (Razorpay) or as per agreed terms for software projects.
5.4. Installment option is available for skill development programs with additional charges (7% processing fee).
5.5. For software projects, milestone-based payments are as outlined in the project agreement.
5.6. Late payment of installments may attract additional charges of ₹100 per day and could lead to suspension of access to course materials.
5.7. For software projects, late payments beyond 15 days may result in project work suspension until payment is received.
5.8. If payment is not received within 15 days of due date, enrollment may be terminated without refund.
6 Refund and Cancellation
6.1. NO REFUND will be provided once the payment is made for skill development programs, regardless of attendance or completion.
6.2. For software development services, NO REFUND applies once work has commenced after advance payment.
6.3. In case of duplicate payment due to technical error, the excess amount will be refunded within 15 working days after verification to the original payment source.
6.4. If a program or project is cancelled by Swizosoft, full refund will be provided within 30 days.
6.5. By accepting these terms, you acknowledge and agree to the no-refund policy.

7 Course Access and Software Delivery
7.1. Course materials (videos, presentations, documents) are for personal use only and cannot be shared, distributed, or sold.
7.2. Access to online materials will be provided for the duration of the course plus 3 months after completion.
7.3. For software development projects, source code and deliverables are provided upon final payment as per project agreement.
7.4. We reserve the right to update, modify, or remove course content as necessary for improvement.
7.5. Sharing login credentials is strictly prohibited and may result in termination.
7.6. Course recordings are provided for review purposes only and cannot be downloaded or redistributed.
7.7. Software project timelines are estimates and may vary based on requirement changes or technical complexities.
8 Intellectual Property Rights
8.1. All course materials, including videos, presentations, documents, and assessments, are the intellectual property of Swizosoft.
8.2. Students may not reproduce, distribute, or create derivative works from our materials without written permission.
8.3. The Swizosoft name, logo, and branding are reserved for Swizosoft.
8.4. Software Development Projects:
- Upon full payment, the client owns the final deliverables (source code, designs) as specified in the project agreement
- Swizosoft retains the right to use the project for portfolio and promotional purposes unless explicitly waived in writing
- Third-party libraries, frameworks, and tools remain under their respective licenses
- Any pre-existing intellectual property of Swizosoft used in development remains our property
8.5. Any unauthorized use of our intellectual property may result in legal action.
9 Code of Conduct
9.1. Students are expected to maintain professional behavior in all interactions with instructors and peers.
9.2. Any form of harassment, discrimination, or inappropriate behavior will result in immediate termination without refund.
9.3. Plagiarism or sharing of copyrighted material is strictly prohibited.
9.4. Respect intellectual property rights of others and the company.
9.5. Maintain academic integrity in assignments and assessments.
9.6. For software projects, clients must provide timely feedback and required materials for project progression.
10 Software Development - Specific Terms
10.1. Project Scope: Work is based on the scope defined in the project agreement. Changes to scope may result in additional costs.
10.2. Client Responsibilities: Client must provide timely feedback, content, and approvals. Delays may affect project timelines.
10.3. Testing and Acceptance: Client has 7 days after delivery to test and accept the work or provide feedback. After 7 days, work is deemed accepted.
10.4. Warranty: We provide 30 days bug-fix warranty from final delivery. Bugs are defined as deviations from agreed specifications.
10.5. Maintenance: Post-warranty maintenance can be provided through separate annual maintenance contracts (AMC).
10.6. Third-Party Services: Costs for domain registration, hosting, SSL certificates, or third-party APIs are borne by the client.
10.7. Confidentiality: We treat all client information as confidential and will not disclose to third parties.
11 Placement Assistance
11.1. We provide placement assistance including resume building, mock interviews, and job referrals.
11.2. We do not guarantee job placement or specific career outcomes.
11.3. Placement assistance is subject to your performance and market conditions.
11.4. Students must maintain minimum 80% attendance to be eligible for placement assistance.
11.5. We are not responsible for hiring decisions made by third-party employers.
12 Limitation of Liability
12.1. Swizosoft shall not be liable for any indirect, incidental, or consequential damages arising from the use of our services.
12.2. Our total liability shall be limited to the amount paid by you for the program or project.
12.3. We are not responsible for any loss of data, income, or opportunities.
12.4. We do not warrant that our services will be uninterrupted or error-free.
12.5. For software projects, we are not liable for damages arising from third-party integrations or services.
13 Indemnification
You agree to indemnify and hold harmless Swizosoft, its directors, employees, and affiliates from any claims, damages, losses, or expenses arising from your violation of these Terms or any applicable laws.
14 Termination
14.1. We may terminate or suspend your access immediately, without prior notice, for conduct that we believe violates these Terms.
14.2. Upon termination, your right to access the services will cease immediately.
14.3. No refund will be provided upon termination for violation of terms.
14.4. For software projects, termination by client does not entitle to refund of payments made.
15 Modification of Terms
We reserve the right to modify these terms at any time. Changes will be effective immediately upon posting. Continued enrollment or project engagement constitutes acceptance of modified terms. We will notify significant changes via email.
16 Governing Law and Dispute Resolution
16.1. These terms shall be governed by the laws of India.
16.2. Any disputes shall be subject to the exclusive jurisdiction of courts in Karwar, Karnataka.
16.3. Before initiating legal action, parties agree to attempt resolution through arbitration under the Arbitration and Conciliation Act, 1996.
16.4. The arbitration shall be conducted in Karwar, Karnataka.
16.5. For software development projects, governing law shall be as specified in the project agreement.
17 Severability
If any provision of these Terms is held to be unenforceable or invalid, such provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
18 Entire Agreement
These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and Swizosoft regarding your enrollment, project engagement, and use of our services.
